1) Eligibility,Accounts & Electronic Communications
You must be at least 13 years old to access the Site and 18 to submit commercial inquiries, RFPs, job applications, or participate in transactions. If you access the Site on behalf of a company or organization, you represent you are authorized to bind that entity to these Terms.
If we provide accounts or portals, you must provide accurate information, keep credentials confidential, and promptly update changes. You are responsible for all activities under your account. We may refuse, change, or reclaim usernames that violate law or our policies.
You consent to receive communications electronically (e.g., email, website notices, e signature). You may opt out of non-essential marketing emails/SMS as described in the Marketing, Email & SMS Terms.
2) License; Acceptable Use
Subject to these Terms, BaRupOn grants you a limited, revocable, non-exclusive, non transferable license to access and use the Site for lawful, internal, informational purposes. All rights not expressly granted are reserved.
You agree not to: copy, scrape, spider, bulk download, or index Site content except as expressly permitted; interfere with or circumvent security, access controls, rate limits, or technical protections; upload malware, conduct DDoS, or place unreasonable load on infrastructure; misrepresent identity or submit false information; post unlawful, defamatory, infringing, obscene, or confidential content; use BaRupOn’s names, logos, or marks without written permission; frame/mirror/deep-link (except to public URLs) in a misleading way; or use the Site in violation of export control, sanctions, or any applicable law.
We may monitor and enforce these Terms, and suspend or terminate access at any time.
3) Informational Nature; No Professional Advice
Site content is for general informational purposes. It does not constitute legal, financial, engineering, architectural, construction, procurement, investment, medical, or other professional advice.
Healthcare/Pharmacy content is informational only and not a substitute for a clinician’s advice. Pharmacy services, if provided, are delivered by licensed entities and governed by separate patient notices and terms at the time of service. Do not submit Protected Health Information (PHI) via general Site forms.
Energy/Infrastructure descriptions (e.g., power assets, pipelines, interconnects, LAMP campus features) are illustrative and subject to permits, engineering, interconnect approvals, financing, and counterparties. Actual specifications and obligations are governed solely by executed contracts.
Investor or press materials on or linked from the Site are not an offer to sell or a solicitation to buy securities.

The Site may contain forward-looking statements (e.g., “anticipate,” “expect,” “plan,” “target,” “estimate,” “could,” “will”). These involve risks and uncertainties that may cause actual results to differ materially, including market conditions, regulatory approvals, interconnect timelines,
financing, supply chains, technology performance, and third-party actions. We assume no obligation to update such statements except as required by law.
5) Intellectual Property & Feedback
The Site and all content, text, graphics, images, video, code, data compilations, and the BaRupOn name and logos are owned or licensed by BaRupOn and protected by intellectual property laws. Except for the limited license above, no rights are granted.
You may view Content for personal or internal business use while using the Site. You may not copy, modify, create derivative works, distribute, or publicly display Content without our written permission.
BaRupOn names and logos are trademarks or service marks of BaRupOn. Third‑party names/logos may be property of their owners and are used for identification only; no endorsement is implied.
If you submit ideas, suggestions, or comments (“Feedback”), you grant BaRupOn a perpetual, irrevocable, worldwide, royalty‑free license to use and commercialize the Feedback without restriction or attribution.
6) User Submissions; Sensitive Information
Where the Site allows submissions (e.g., contact forms, job applications), you represent you have all necessary rights and that your content is accurate and lawful. You grant BaRupOn a non‑exclusive, worldwide, royalty‑free license to host, use, reproduce, and display your content to operate and improve the Site.
Do not upload: PHI/medical records; social security numbers; payment card data; bank account numbers; export‑controlled or classified information; procurement‑sensitive or material non‑public information; or trade secrets. Use only designated secure channels we specify in writing.
7) Third‑Party Links, Tools & Open Source
The Site may link to third‑party websites or integrate third‑party or open‑source components governed by their own terms. BaRupOn is not responsible for third‑party content, policies, availability, or security. Your use of third‑party services is at your own risk.
8) Marketing, Email & SMS Terms
By submitting your contact information, you consent to receive communications from BaRupOn (e.g., email, SMS). Message and data rates may apply. You can opt out at any time (reply STOP for SMS; use unsubscribe links for email). Transactional or service notices may still be sent where permitted.
9) Procurement, Quotes & Transactions
Any RFI/RFQ responses, quotes, online pricing, spec sheets, brochures, and schedules on the Site are non‑binding, provided “as‑is,” and subject to change at any time.
Any transaction for power, infrastructure, construction, data center space, or pharmacy services is governed exclusively by separate written agreements executed by authorized signatories (e.g., PPAs, MSAs, development agreements, leases, pharmacy terms, BAAs). In case of conflict, the executed contract controls.
Services mentioned may not be available in all jurisdictions and remain subject to permits, interconnect, regulatory approvals, and licensing.
10) LAMP Campus; Site Visits & Confidentiality
Access to BaRupOn property (including construction areas) requires prior written permission, adherence to safety rules and PPE requirements, and escort when required. You assume all risk when entering any industrial site.
Photography and UAV/drone operations on BaRupOn property require written consent, compliance with FAA/local rules, and proof of insurance.
Site tours, data room access, specifications, drawings, and non‑public documentation may require execution of a Non‑Disclosure Agreement (NDA). You agree not to disclose or misuse confidential information.
11) Healthcare/Pharmacy Notices
Pharmacy services, if provided, are delivered by licensed entities and pharmacists under applicable laws and may require separate patient agreements and notices (e.g., HIPAA Notice of Privacy Practices).
Do not submit PHI via general Site forms or email addresses. Use only designated pharmacy portals and channels. Submitting PHI via non‑designated channels is at your own risk.
12) Export Controls, Sanctions & Anti‑Corruption
You represent you are not located in, under control of, or a national/resident of any country or person subject to U.S. sanctions or export restrictions, and you will not use the Site for any purpose prohibited by U.S. export control laws. You agree to comply with anti‑corruption laws (e.g., FCPA, UK Bribery Act).
13) Security; Vulnerability Disclosure
We implement reasonable technical and organizational measures appropriate to risk. No system is 100% secure. If you believe you discovered a vulnerability, email
security@barupon.com. Do not access data that is not yours, disrupt services, or violate laws. We may offer coordinated disclosure at our discretion.
14) Copyright Policy & DMCA
If you believe content on the Site infringes your copyright, send a DMCA notice including: (a) your physical/electronic signature; (b) identification of the copyrighted work; (c) identification and location of the allegedly infringing material; (d) your contact information; (e) your good‑faith belief that use is not authorized; and (f) a statement under penalty of perjury that the information is accurate and you are authorized to act.

15) Privacy; Cookies; Data Transfers
Your use of the Site is also governed by our Privacy Policy and Cookie Policy (incorporated by reference). These explain how we collect, use, share, and store information, including cookies, analytics, and similar technologies, and your rights and choices (including California Do‑Not‑Sell/Share and Global Privacy Control). International users acknowledge data may be processed in the United States or other jurisdictions.
16) Changes,Availability & Termination
We may modify the Site and these Terms at any time. Changes are effective upon posting the updated Terms with the “Last Updated” date. We may suspend or terminate access (in whole or part) without liability for maintenance, security, legal, or business reasons. You may stop using the Site at any time.
17) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.
18) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BA RUPON AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
IN ALL CASES, BA RUPON’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNTS YOU PAID (IF ANY) TO BA RUPON FOR THE ONLINE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITS MAY NOT APPLY TO YOU.
19) Indemnification
You will defend, indemnify, and hold harmless BaRupOn and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Site; (b) your content or submissions; (c) your violation of these Terms or applicable law; or (d) alleged infringement or misappropriation of third‑party rights by your content or use.
20) Governing Law; Informal Resolution; Arbitration; Class Waiver
These Terms are governed by the laws of the State of California, without regard to conflict‑of‑laws rules.
Before filing a claim, email legal@barupon.com with a brief description of the dispute and supporting details and allow 30 days for informal resolution.
Except for claims that may be brought in small‑claims court, any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or Consumer Rules for individuals), before a single arbitrator, in Orange County, California. The Federal Arbitration Act governs this Section. The arbitrator may award individual relief (including injunctive relief where permitted) but may not award relief that benefits anyone not a party.
YOU AND BA RUPON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person.
You may opt out of arbitration/class waiver by sending written notice to legal@barupon.com within 30 days after you first accept these Terms. Your opt‑out will not affect other provisions.
21) Accessibility
BaRupOn strives to make the Site accessible. If you experience difficulty accessing content, email accessibility@barupon.com and we will work to provide the information you need through an alternative method.
22) International Use
Access to the Site may not be legal by certain persons or in certain countries. You access the Site on your own initiative and are responsible for compliance with local laws.
23) Beta Features & Changes
We may label certain features as beta, pilot, or preview. Such features are provided as‑is, may change, and may be discontinued at any time without notice or liability.
24) Force Majeure
We are not liable for any failure or delay due to causes beyond our reasonable control, including acts of God, labor disputes, war, terrorism, civil disorder, epidemics, supply‑chain disruption, governmental actions, utility failures, or internet outages.
25) Notices
We may provide notices by posting to the Site, email, or other reasonable means. Official legal notices to BaRupOn must be sent to legal@barupon.com and to: BaRupOn LLC, Attn: Legal, 94 Discovery, Irvine, CA 92618, USA.
26) Government Users
If accessed by or on behalf of the U.S. Government, the Site is “commercial computer software” and “commercial computer software documentation” per applicable regulations, and rights are limited by these Terms and FAR/DFARS as applicable.
27) Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms (in whole or part) without notice in connection with a merger, acquisition, corporate reorganization, or sale of assets.
28) Severability; Waiver; Entire Agreement; Survival
If any provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver. These Terms, together with policies incorporated by reference, constitute the entire agreement between you and BaRupOn regarding the Site and supersede all prior or contemporaneous understandings.
Sections that by their nature should survive termination will survive (including license restrictions, IP, disclaimers, limitations of liability, indemnities, governing law, arbitration, and class waiver).
